Terms of Service & End User License Agreement (EULA)

These terms govern both DexCue website/account services and DexCue Timer software use under one DexCue brand agreement.

1. Acceptance

By accessing DexCue services, creating an account, downloading or installing DexCue Timer, activating a license, or purchasing a plan, you agree to these Terms. If you do not agree, do not use DexCue. If you use DexCue on behalf of an organization, you represent that you are authorized to bind it.

2. Scope: website and software

These Terms apply to two related service layers under the DexCue brand:

  • Website and account services: dexcue.com, account management, billing, downloads, support, and related hosted services.
  • DexCue Timer software: desktop or mobile applications, Host and Client modes, activation, licensing, updates, and local-network features.

3. Software modes and components

DexCue Timer may be installed in Host mode or Client mode. Host mode may run the Core Server, control UI, system tray, internal display launcher, and optional Web Control Panel. Client mode runs the remote control UI and connects to a selected Host. The display launcher is an internal Host component and is not licensed as a separate standalone app.

4. Free download and paid features

DexCue Timer may be downloadable without charge. Free download does not transfer ownership of software or guarantee continued access to paid capabilities. Features designated as paid require active entitlement (for example, subscription, license key, or valid activation) as defined by DexCue.

5. License grant and restrictions

Subject to these Terms, DexCue grants a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use DexCue for its intended purpose. You may not misuse DexCue, bypass activation or license controls, resell access without permission, or use DexCue in violation of law or third-party rights.

6. Host licensing model and multi-Host operation

Where applicable, paid features are licensed per Host timer system/display. Multiple Hosts may run on the same network, and each Host represents its own timer system context. Clients that connect to Hosts are not separate Host licenses unless DexCue states otherwise.

7. Web Control Panel and network access

Host installs may include a local Web Control Panel, typically served at http://<host-ip>:8086 and enabled from Settings > Network & Server > Enable Web Control Panel. You are responsible for securing your network, devices, firewall, and credentials, including risks from exposing local control interfaces.

8. Accounts and security

You are responsible for safeguarding account credentials, maintaining accurate account information, and activity under your account except where directly caused by DexCue’s legal security obligations.

9. Subscriptions, billing, and cancellation

Paid plans renew automatically on the billing interval selected at checkout unless cancelled before renewal. Monthly plans are billed monthly. Annual plans are billed upfront for the annual term. Separate purchases may create separate subscriptions, license keys, and Host limits. Cancelling a subscription stops future renewal charges; it does not shorten the current paid term or automatically refund amounts already paid. Access may continue through the current paid period unless otherwise stated. Payment processing, payment-method storage, invoices, subscription renewals, refunds, and billing portal access may be handled by providers such as Stripe. Your use of Stripe payment and billing flows may also be subject to Stripe's terms and privacy policy. DexCue does not control Stripe's systems, bank delays, card-network rules, chargeback procedures, or payment-provider requirements.

To cancel a subscription, log in to your DexCue account and visit the billing portal, or contact support@dexcue.com. Cancellation takes effect at the end of the current billing period. No partial-period refunds are issued for mid-cycle cancellations unless required by law.

10. Service changes and availability

DexCue may modify, suspend, limit, or discontinue website features, downloads, hosted services, activation flows, support channels, or product capabilities at any time for maintenance, security, legal, abuse-prevention, lifecycle, or business reasons. Availability is provided on an as-available basis without guaranteed uptime.

11. Intellectual property

DexCue software, branding, site content, downloads, activation systems, documentation, and related materials remain the property of DexCue and its licensors. Purchases grant usage rights only within the scope of the applicable plan and license terms.

12. Warranty disclaimer

To the fullest extent allowed by law, DexCue is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, or uninterrupted operation.

13. Limitation of liability

To the fullest extent allowed by law, DexCue and its affiliates, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost revenue, lost profits, lost business, loss of data, show interruption, replacement costs, loss of goodwill, or business interruption arising from or related to DexCue. This includes outages, activation failures, sync delays, server shutdowns, discontinuation of hosted services, or removal of product features. To the fullest extent allowed by law, DexCue’s total aggregate liability for any claim related to the service will not exceed the amount you paid to DexCue for the affected service during the 12 months before the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless DexCue from claims, losses, liabilities, damages, and expenses arising from your misuse of DexCue, your violation of these terms, or your violation of applicable law or third-party rights.

15. Refunds

DexCue Timer is delivered digitally. Upon successful payment, license keys, downloads, or paid account access may be made available immediately. Because access is digital, payments are generally non-refundable after license issuance, activation, download access, or paid access use, except where required by law or approved by DexCue in writing.

If no license key has been issued and no activation or paid access has been used for the relevant purchase, DexCue may review refund requests submitted within 7 days of the original transaction. Approval is discretionary unless refund rights are required by applicable law.

For annual plans, cancellation stops the next renewal and access continues through the paid annual term. Cancellation does not automatically create a refund, credit, or partial-period reimbursement for unused time. DexCue may review duplicate charges, billing errors, failure to deliver paid access, or material product misrepresentation.

For refund or billing questions, contact support@dexcue.com. Approved payment reversals may be processed through Stripe or another relevant payment provider, and bank, card-network, or payment-provider timing may affect when funds appear.

16. Governing law

These terms are governed by the laws of Puerto Rico and applicable United States law, excluding conflict-of-law rules, except to the extent mandatory consumer protection law requires otherwise.
